REDGIFS STUDIO AND SPOTLIGHT TERMS Follow
Agreement; Applicability
These RedGIFs studio and spotlight terms (“Studio Terms”) govern your access to and use of RedGIFs Studio (“Studio”) and, if purchased, the RedGIFs Spotlight subscription. These Studio Terms apply only to verified creators who access Studio.
By accessing Studio or purchasing Spotlight, you agree to these Studio Terms and the RedGIFs Terms of Service (“Main ToS”). If there is a conflict between these Studio Terms and the Main ToS regarding Studio or Spotlight, these Studio Terms will prevail.
If you are established in the European Economic Area (“EEA”) or the United Kingdom and you use Studio or Spotlight in the course of business, Sections 11 through 13 and 16 through 18 also apply and are intended to address transparency and redress requirements for business users.
Definitions
In these Studio Terms, the following definitions apply:
“Business User” means a Creator that is a business user within the meaning of Regulation (EU) 2019/1150.
“Creator” means a user who successfully completes RedGIFs’ creator verification process and is authorized to use Studio.
“Creator Account” means your creator account in Studio.
“Creator Content” means content you upload or publish through Studio.
“EEA” means the European Economic Area.
“Guaranteed Views” means served promotional displays of eligible Creator Content, the Creator’s profile, or both within RedGIFs promotional placements, as recorded by RedGIFs’ systems, totaling 50,000 during the Subscription Period.
“P2B Regulation” means Regulation (EU) 2019/1150.
“Profile Embeds” means the clickable embedded button or call-to-action described in section 4(a).
“Profile Spotlight” means promotional placements featuring a Creator’s profile or Creator Content within RedGIFs, including sections such as “creators you might enjoy.”
“Spotlight” means the paid subscription available through Studio that provides promotional features intended to increase exposure for a Creator Account and Creator Content on RedGIFs.
“Subscription Period” means a monthly period of Spotlight service for a Creator Account, beginning on the date of successful payment and renewing monthly unless canceled.
Studio Access; Verification; Good Standing
(a) Studio is available only to Creators who successfully verify their identity and age and complete any required account linking or revenue verification steps.
(b) Your Studio access and Spotlight eligibility depend on continued compliance with the Main ToS, these Studio Terms, and any content standards, community guidelines, or other policies referenced in the Main ToS.
(c) Studio may allow Creators to upload content, manage content (including folders, deletion, or privacy settings), and view analytics related to Creator Accounts and Creator Content.
4. Spotlight Features
Subject to these Studio Terms, Spotlight includes the following features (as enabled for the applicable Creator Account):
(a) Creator may enable a clickable embedded button or similar call-to-action displayed on embeds of public Creator Content that links to Creator’s designated external paid profile (such as OnlyFans). Once enabled, RedGIFs may apply Profile Embeds retroactively to existing public Creator Content.
(b) During each Subscription Period, RedGIFs will deliver 50,000 Guaranteed Views for the applicable Creator Account, subject to eligibility and enforcement under these Studio Terms. This 50,000 Guaranteed Views commitment represents RedGIFs’ total delivery obligation for each Subscription Period.
(c) RedGIFs may feature the Creator’s profile and Creator Content in promotional placements within RedGIFs (including sections such as “creators you might enjoy”) to drive discovery and traffic to the Creator’s external paid profile.
(d) Spotlight guarantees exposure only. RedGIFs does not guarantee clicks, visits to external sites, conversion rates, subscriber growth, revenue, engagement, or any other business outcome.
5. Guaranteed Views; Measurement; Delivery
(a) Views delivered through Profile Spotlight placements count toward the 50,000 Guaranteed Views and are not a separate numeric guarantee unless RedGIFs expressly states otherwise in writing at the time of purchase.
(b) A Guaranteed View does not require a click, an external-site visit (including OnlyFans), completion of playback, minimum watch time, a unique user, or conversion to a paying subscriber.
(c) Guaranteed Views apply per Creator Account per Subscription Period and may be delivered across multiple items of public Creator Content that comply with the Main ToS, these Studio Terms, and any policies referenced in the Main ToS, and across multiple promotional placements. RedGIFs (including through its systems and service providers) determines which public Creator Content is promoted, the frequency, and placement. Creator does not control selection, frequency, or placement.
(d) Only public Creator Content is eligible for Spotlight delivery. Content that is private, deleted, removed, restricted, or otherwise unavailable to the public is ineligible and will not count toward delivery.
(e) Guaranteed Views are delivered per Creator Account per Subscription Period and do not roll over to subsequent Subscription Periods. You must maintain sufficient eligible public Creator Content during the Subscription Period to allow delivery. If public Creator Content is unavailable due to your actions, RedGIFs will have no obligation to deliver Guaranteed Views that cannot reasonably be delivered as a result.
(f) Delivery begins when the first Guaranteed View is served for the applicable Subscription Period, which is intended to occur promptly after the start of that Subscription Period.
- (g) RedGIFs’ internal logs and reporting determine whether Guaranteed Views have been delivered.
Billing; Auto-Renewal; Cancellation
(a) Spotlight is $39.99 per month per Creator Account, plus applicable taxes (if any).
(b) Spotlight renews automatically at the end of each Subscription Period unless you cancel before the start of the next Subscription Period. By purchasing Spotlight, you authorize RedGIFs to charge your selected payment method $39.99 per month, plus applicable taxes, on a recurring basis until you cancel. RedGIFs will provide confirmation of enrollment and cancellation as required by law.
(c) You may cancel Spotlight at any time. Cancellation becomes effective at the end of the then-current Subscription Period. You will retain Spotlight access during the remainder of that Subscription Period unless Spotlight is suspended or terminated under section 7.
(d) RedGIFs does not charge a fee for canceling Spotlight.
(e) If a payment is declined, reversed, charged back, or disputed, RedGIFs may suspend Spotlight immediately. You remain responsible for amounts owed for any Subscription Period during which Guaranteed Views were delivered. RedGIFs may recover unpaid amounts through lawful means.
(f) If you are located in the EEA or the United Kingdom and are entitled under applicable law to a statutory cancellation or withdrawal right for distance contracts, you may have the right to cancel Spotlight within 14 days after purchase. Where required by law, RedGIFs will provide required pre-contract information and any required model withdrawal instructions.
(g) Where applicable law provides a withdrawal right that can be reduced or lost once performance begins, by purchasing Spotlight you expressly request that RedGIFs begin providing Spotlight and delivering Guaranteed Views immediately during the withdrawal period, and you acknowledge that (1) you may lose your right to withdraw once Spotlight has been fully performed, and (2) if you withdraw after delivery begins, you may be required to pay an amount proportionate to Spotlight provided up to the time you withdraw, to the extent permitted by law.
(h) You may cancel Spotlight through Studio subscription settings. Where required by law, RedGIFs will provide an online cancellation function that is easy to access and use.
Refunds; Enforcement; Suspension and Termination
(a) Except where required by law, and subject to section 6(f)–6(h), Spotlight fees are non-refundable once delivery begins for a Subscription Period.
(b) Except where required by law, RedGIFs does not provide prorated refunds or credits for partial Subscription Periods.
(c) Spotlight eligibility and continued delivery are conditioned on compliance with the Main ToS, these Studio Terms, and any policies referenced in the Main ToS. RedGIFs may remove content from delivery, suspend Spotlight, or terminate Studio access for violations, including immediate permanent removal in serious breach cases consistent with platform enforcement practices.
(d) If Spotlight is suspended or terminated due to your violation of the Main ToS, these Studio Terms, or policies, you may forfeit remaining Guaranteed Views for the Subscription Period and RedGIFs will have no refund obligation to the extent permitted by law.
(e) If RedGIFs determines it did not deliver the 50,000 Guaranteed Views during a Subscription Period for reasons within RedGIFs’ reasonable control, RedGIFs may provide make-good delivery in a subsequent period as your exclusive remedy. Refunds will not be provided except where required by law.
(f) RedGIFs is not responsible for delays or failure to deliver Guaranteed Views caused by technical failures, scheduled maintenance, events beyond RedGIFs’ reasonable control, third-party service disruptions, regulatory actions, or similar circumstances. In those cases, RedGIFs may extend delivery into a subsequent period.
(g) If you are a Business User, and RedGIFs restricts, suspends, or terminates your Studio access, Spotlight, or the visibility of your Creator Content, RedGIFs will provide you with a statement of reasons as required by applicable law, unless RedGIFs is not required to do so due to legal, regulatory, safety, or fraud-related grounds.
Price Changes
(a) RedGIFs may change Spotlight pricing, create new tiers, or modify pricing for new subscribers and existing subscribers to the extent permitted by law.
(b) RedGIFs will provide advance notice of any price increase applicable to you, and the new price will take effect no earlier than the next renewal after the notice period.
(c) If you do not agree to a price increase, you may cancel Spotlight before the increase takes effect.
6. Service Providers; Payments
(a) Spotlight features are powered in part by VerticalBoost.ai (“VerticalBoost”), an affiliate under common ownership with RedGIFs, which provides campaign delivery, optimization, and analytics services. VerticalBoost is not a party to these Studio Terms and has no direct contractual obligations to Creators. To the maximum extent permitted by law, Creators may not bring claims directly against VerticalBoost arising out of Spotlight.
(b) To provide Spotlight, RedGIFs may send to and process through VerticalBoost certain information, including first name, last name, email address, billing address, Creator Content information, and related performance information. VerticalBoost may evaluate which Creator Content is eligible to be promoted and may provide promotion and delivery instructions back to RedGIFs.
(c) Payment card information (including card number, CVV, expiration date) is processed and stored by payment processors (including VerticalBoost’s payment provider, EC Suite) and not by RedGIFs except as permitted by those providers and applicable law.
7. Profile Embeds Limitations
Profile Embeds may not appear on certain embeds, devices, integrations, or placements, and may be unavailable where technically infeasible or where required to comply with law, platform policies, or third-party restrictions.
8. Ranking and Visibility Parameters for EEA and UK Business Users
(a) RedGIFs uses automated and non-automated systems to determine the visibility of Creator Content and Creator profiles in feeds, search, recommendations, and promotional placements, including placements used to deliver Guaranteed Views.
(b) The main parameters that influence visibility and ranking may include content tags and niches, user interests, engagement signals, freshness, content compliance status, quality signals, and predicted relevance.
(c) Spotlight may increase distribution through promotional placements intended to deliver Guaranteed Views. Spotlight does not guarantee placement in any specific location, position, or time.
9. Differentiated Treatment for EEA and UK Business Users
RedGIFs may use services provided by affiliates, including VerticalBoost, to operate Spotlight and promotional delivery. Use of an affiliate service provider does not mean that a Creator receives preferential treatment outside the Spotlight features purchased by that Creator.
10. Internal Complaint-Handling for EEA and UK Business Users
(a) If you are a Business User, you may submit complaints relating to:
(1) alleged non-compliance by RedGIFs with the P2B Regulation;
(2) technological issues directly related to Studio or Spotlight that affect you; or
(3) measures taken by RedGIFs that relate to your Studio access, Spotlight, or visibility of your Creator Content.
(b) Complaints must be submitted through RedGIFs support channels identified in the Main ToS or Studio. RedGIFs will process complaints within a reasonable time and will communicate the outcome.
11. Disclaimers
(a) Studio and Spotlight are provided “as is” and “as available,” without warranties to the extent permitted by law.
(b) RedGIFs disclaims responsibility for business outcomes, including subscriber conversion, revenue, and engagement.
12. Limitation of Liability
The limitation of liability provisions in the Main ToS apply to Studio and Spotlight. To the extent permitted by law, RedGIFs’ total liability arising out of or relating to Spotlight will not exceed the total Spotlight fees paid by you during the three months preceding the event giving rise to the claim.
13. Mediation for EEA and UK Business Users
(a) If you are a Business User and a dispute remains unresolved after use of the complaint process in section 13, you and RedGIFs may attempt to resolve the dispute through mediation in good faith.
(b) For purposes of the P2B Regulation mediation requirement, RedGIFs identifies the following mediators as available to provide mediation services: (1) the Centre for Effective Dispute Resolution (CEDR), and (2) the ICC International Centre for ADR (ICC).
(c) Unless prohibited by applicable law, each party will bear one-half of the mediator’s fees and costs, and will bear its own costs, in the mediation.
14. Changes to Studio Terms
RedGIFs may update these Studio Terms from time to time. If changes are material, RedGIFs will provide notice as required by law. Continued use of Studio or Spotlight after the effective date of updated Studio Terms constitutes acceptance.
15. Changes to These Studio Terms for EEA and UK Business Users
(a) If you are a Business User, RedGIFs will provide notice of changes to these Studio Terms that affect you in accordance with applicable law.
(b) Where required by applicable law, RedGIFs will provide at least 15 days’ advance notice before changes take effect.
(c) RedGIFs may apply changes sooner where required by law, for security reasons, to address an unforeseen and imminent danger, or where the change benefits you without requiring you to take action.
